　　備用 信用證 的定義和前述 信用證 的定義并無不同，都是銀行（開證行）應(yīng)申請人的請求，向受益人開立的，在一定條件下憑規(guī)定的單據(jù)向受益人支付一定款項的書面憑證。所不同的是，規(guī)定的單據(jù)不同。備用 信用證 要求受益人提交的單據(jù)，不是貨運單據(jù)，而是受益人出具的關(guān)于申請人違約的聲明或證明。

　　傳統(tǒng)的銀行保函有可能使銀行卷入商業(yè)糾紛，美、日等國的法律禁止銀行開立保函。于是美國銀行采用備用信用證的形式，對國際經(jīng)濟(jì)交易行為提供擔(dān)保。隨著銀行保函在應(yīng)用中性質(zhì)的變化，特別是1992年國際商會《見索即付保函統(tǒng)一規(guī)則》的公布，銀行保函和備用信用證的內(nèi)容和作用已趨一致。所不同的只是兩者遵循的慣例不同。備用信用證運用于“UCP 500”，而銀行保函則適用于上述《規(guī)則》。

　　備用信用證是擔(dān)保銀行向貼現(xiàn)或貸款銀行承諾到期為借款方償還債務(wù)，如果借款方到期償還了貸款，那么，備用信用證就備而不用，如果，借款方到期不歸還貸款，那么，備用信用證就起作用，擔(dān)保銀行就要為借款方向貸款銀行償還貸款。備用信用證有無條件兌付信用證和有條件兌付信用證。
